By accessing or using NepCircle ("Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Appcly IT Solution, doing business as NepCircle, a community platform operated in the United States. These Terms govern your access to and use of our website, mobile applications, and all related services.

Important: By creating an account, posting content, or using any feature of NepCircle, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

CRITICAL ACKNOWLEDGMENT: By using this Service, you expressly acknowledge and agree that NepCircle and Appcly IT Solution are NOT responsible for any content, transactions, interactions, or outcomes that occur through or on the platform. You understand and accept all risks associated with using this Service and agree to hold NepCircle and Appcly IT Solution harmless from any and all liability.

To use NepCircle, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our Service under applicable laws
• Provide accurate and complete registration information
• Maintain the security of your account credentials

NepCircle operates as an online platform connecting community members for the purposes of:

• Community directory: Discovering and promoting local businesses and organizations your neighbors trust

Platform Role: NepCircle acts solely as a platform provider and facilitator. We do not own, sell, rent, or manage any properties, goods, or services listed on our platform. We are not a party to any transactions between users and do not guarantee the quality, safety, or legality of items or services offered.

5.1 Peer-to-Peer Transactions

All transactions conducted through NepCircle are between users. We do not process payments, hold funds, or guarantee the completion of transactions. Users are responsible for:

• Verifying the identity and legitimacy of other parties
• Negotiating terms, pricing, and payment methods
• Ensuring compliance with applicable laws and regulations
• Resolving disputes directly with other parties

5.2 Housing Transactions

For housing-related listings, users must comply with all applicable housing laws, including but not limited to the Fair Housing Act. We prohibit discrimination based on race, color, religion, national origin, sex, familial status, or disability. Users must ensure:

• Accurate representation of properties and terms
• Compliance with local landlord-tenant laws

CRITICAL HOUSING DISCLAIMER: NepCircle is a platform that allows third parties to post housing listings. We are NOT the owner, landlord, property manager, or real estate agent. We do NOT:

• Own, manage, or control any properties listed on the platform
• Verify the accuracy, legality, or availability of housing listings
• Conduct background checks on landlords, tenants, or property managers
• Inspect properties for safety, habitability, or compliance
• Guarantee the execution or enforcement of rental agreements
• Hold security deposits, rent payments, or manage financial transactions

YOU ACKNOWLEDGE AND AGREE that all housing transactions are solely between you and the property owner/manager. You are responsible for verifying all property details, conducting inspections, reviewing legal documents, and ensuring compliance with all applicable housing laws. NepCircle has NO LIABILITY for housing transactions, property conditions, landlord-tenant disputes, or violations of housing laws.

5.3 Safety Recommendations

Important Safety Guidelines:

• Meet in public places for initial meetings
• Never send money to strangers or use untraceable payment methods
• Trust your instincts and report suspicious activity
• Verify identities before engaging in transactions
• Keep communications on the platform when possible
• Research market prices to avoid scams

5.4 Explicit Platform-Only Role

⚠️ CRITICAL UNDERSTANDING: NepCircle is ONLY a platform that connects users. We are NOT:

• NOT a broker, agent, or intermediary - We do not facilitate, manage, or participate in transactions
• NOT a verifier or validator - We do not conduct background checks, identity verification, or credential validation
• NOT an inspector or quality controller - We do not inspect properties, products, or services listed
• NOT a guarantor or insurer - We do not guarantee the quality, safety, legality, or completion of any transaction
• NOT a payment processor - We do not hold, process, or guarantee any funds or payments between users
• NOT a mediator or arbitrator - We do not resolve disputes, enforce agreements, or mediate conflicts
• NOT legal or professional advisors - We do not provide legal, financial, real estate, or employment advice

NepCircle's sole function is to provide the software platform. All interactions, transactions, agreements, and outcomes are 100% between users. We have ZERO involvement and ZERO responsibility.

5.5 Fraud, Scams & Criminal Activity Acknowledgment

EXPLICIT ACKNOWLEDGMENT REQUIRED:

By using NepCircle, you explicitly acknowledge and accept that:

• Scams and fraud exist on ALL online platforms - NepCircle is no exception. Users may post fake listings, false information, or engage in fraudulent schemes.
• We do NOT screen users or content - We do not conduct background checks, verify identities, validate credentials, or screen listings for fraud.
• You may lose money, property, or experience harm - Financial loss, theft, property damage, and personal injury are possible risks of using this platform.
• Criminal activity may occur - Users may engage in theft, assault, identity theft, harassment, or other criminal acts. We are not responsible.
• We will NOT refund losses or compensate damages - Any financial loss, property damage, or harm you suffer is YOUR responsibility, not ours.

YOU ASSUME ALL RISKS. If you are not comfortable with these risks, DO NOT USE THIS PLATFORM.

5.6 Employment & Job Listings Disclaimer

EMPLOYMENT OPPORTUNITY DISCLAIMER:

NepCircle is NOT an employment agency, staffing firm, or recruitment service. For all job, career, and opportunity listings, we do NOT:

• Verify the legitimacy of employers or job postings
• Conduct background checks on employers or job seekers
• Validate job descriptions, salaries, or working conditions
• Guarantee employment, compensation, or job security
• Screen for employment scams, fraudulent offers, or illegal schemes
• Ensure compliance with labor laws, wage laws, or employment regulations
• Mediate employment disputes or enforce employment agreements
• Provide legal advice regarding employment rights or obligations

Warning: Employment scams are common online. Users may post fake jobs, request money upfront, steal personal information, or engage in illegal employment practices. All employment relationships, agreements, and outcomes are solely between you and the employer. NepCircle has NO LIABILITY for employment transactions, wage disputes, workplace injuries, discrimination, or violations of labor laws.

The Service and its original content, features, and functionality are owned by NepCircle and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, logos, and service marks ("Marks") may not be used without our prior written consent. All other trademarks appearing on the Service are the property of their respective owners.

We respect intellectual property rights. If you believe content on our platform infringes your copyright, please contact us with:

• Your use or inability to use the Service
• Any conduct or content of third parties on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your content
• Statements or conduct of any third party on the Service
• Any transactions, communications, or interactions between users
• Any fraudulent, deceptive, or illegal activities by users
• Any housing, employment, or marketplace transactions
• Any events, gatherings, or activities organized through the platform
• Any business relationships formed through the platform

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

7.3 No Responsibility for User Actions

• Any disputes, conflicts, or legal issues between users
• Any financial losses, property damage, or personal injury
• Any failure by users to comply with applicable laws or regulations

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. YOU ARE SOLELY RESPONSIBLE FOR ALL INTERACTIONS WITH OTHER USERS AND FOR VERIFYING THE INFORMATION PROVIDED BY OTHER USERS.

You agree to defend, indemnify, and hold harmless Appcly IT Solution, NepCircle, their affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your violation of any law or rights of a third party
• Your use of the Service
• Your User Content
• Any transactions you conduct through the platform

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas and the United States, without regard to conflict of law provisions.

9.2 Dispute Resolution

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by binding arbitration in Texas, using the English language, in accordance with the Arbitration Rules and Procedures of the American Arbitration Association ("AAA").

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and there shall be no right or authority for any dispute to be brought in a purported representative capacity.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by discontinuing use of the Service and contacting us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

• Duplicate, outdated, or inaccurate content

We may, without prior notice:

• Curate and feature public events from trusted sources
• Aggregate publicly available information from verified organizations
• Remove or edit content that is duplicate, misleading, or harmful
• Update or correct information to maintain platform quality
• Archive or delete expired or outdated content
• Standardize formatting and presentation of content

Platform Quality: These rights allow us to maintain a high-quality, accurate, and useful platform for all users. We exercise these rights in good faith to improve user experience and ensure the reliability of information on NepCircle.

By using this Service, you acknowledge and agree that NepCircle has the sole authority to manage platform content and that such management decisions are final and not subject to dispute.

Entire Agreement: These Terms constitute the entire agreement between you and NepCircle regarding use of the Service and supersede all prior agreements.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, fuel or energy shortages, equipment failures, network outages, cyberattacks, or any other event beyond our control. In such events, our obligations shall be suspended for the duration of the event, and we shall not be liable for any damages, losses, or consequences resulting from such events.
